1. Agreement
By creating an account or using Meridian Cloud, you agree to these Terms of Service. If you are using Meridian on behalf of a business, you represent that you are authorized to bind that business to these terms.
These terms apply to the Meridian Cloud platform, the mobile app, the branded customer-facing site we generate for you, and any related services (collectively, the “Service”).
2. Your account
You are responsible for activity under your account and for keeping your credentials secure. You must provide accurate information and promptly update it when it changes.
You are responsible for the conduct of any team members, crew, or staff you invite into your workspace, and for ensuring their use complies with these terms.
3. Fees & billing
Meridian Cloud has no subscription fee. Access to the software is free, with no per-user fees and no contracts. You can close your account at any time from your settings.
Usage-based services such as AI, SMS, and email are billed at cost plus a margin. Usage charges are itemized on your invoice, and applicable rates are disclosed before you incur them.
4. Payments to you and your customers
Card processing and payouts run through Stripe under Stripe’s Connected Account Agreement. You are responsible for keeping your connected account in good standing.
A flat 1% Meridian platform fee plus Stripe’s standard processing rates are added to the amount your customer pays at checkout, not deducted from your payout, so you keep 100% of every invoice. Both fees are itemized and disclosed on the pricing page.
5. Your data
You own your data. You may export it at any time, and we will delete it on request in accordance with our Privacy Policy. We do not sell your data.
You grant us a limited license to host, process, and transmit your data solely to operate and improve the Service and to provide support. Our handling of personal data is described in our Privacy Policy and Data Processing Addendum.
6. Acceptable use
You agree not to misuse the Service, including by violating laws, infringing others’ rights, sending unlawful or unsolicited communications, or attempting to disrupt or gain unauthorized access to the platform.
You agree not to resell, sublicense, or white-label the Service except as expressly permitted, and not to use it to build a competing product.
7. Availability & changes to the Service
As an early-access product, Meridian Cloud is under active development. Features may change, and we may add, modify, or remove functionality. We aim to give reasonable notice of material changes that affect how you work.
We strive for high availability but do not guarantee uninterrupted service. Planned maintenance and status updates are posted on our status page.
8. Disclaimers & liability
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
To the maximum extent permitted by law, Meridian Cloud is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid in the twelve months preceding the claim.
9. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access if you materially breach these terms or use the Service in a way that risks harm to other customers or the platform.
On termination, you may export your data for a reasonable period before it is deleted in accordance with our Privacy Policy.
10. Changes to these terms
We may update these terms; we will notify you of material changes. Continued use after changes take effect constitutes acceptance.
